STANDARD TERMS AND CONDITIONS OF SALE
1. Scope
These Standard Terms and Conditions of Sale (“Terms”) apply to all services provided by Dirpix, including but not limited to artistic performances, DJ services, music production, mixing, mastering, consulting, content creation, technical services, and any other custom services requested by the Client. By placing an order, the Client acknowledges having read and accepted these Terms without reservation.
2. Orders
An order becomes binding once it has been confirmed by both parties, whether through a signed quotation, invoice, payment, written agreement, or any other explicit confirmation.
3. Pricing and Payment
All prices are expressed in Euros (€), unless otherwise specified. Payment shall be made according to the terms indicated on the quotation or invoice. Dirpix reserves the right to suspend or postpone any ongoing or future services in the event of late or incomplete payment. Where applicable, late payment penalties and statutory recovery fees may be charged in accordance with French law.
4. Delivery Time
Estimated delivery dates are provided in good faith but are not guaranteed. Dirpix will make every reasonable effort to meet agreed deadlines but shall not be held liable for delays caused by force majeure, delays attributable to the Client, or circumstances beyond its reasonable control.
5. Client Responsibilities
The Client warrants that they own or have obtained all necessary rights, licenses, and permissions relating to any files, materials, or content supplied to Dirpix. The Client remains solely responsible for the legality and accuracy of any material provided.
6. Changes and Cancellations
Any significant modification requested after an order has been confirmed may result in additional charges. If a service has already begun, cancellation does not entitle the Client to a refund for work already completed.
7. Liability
Dirpix undertakes to perform its services with reasonable skill and care. Under no circumstances shall Dirpix be liable for any indirect, incidental, consequential, financial, or loss-of-profit damages arising from the use of its services.
8. Intellectual Property
Unless otherwise agreed in writing, each party retains ownership of its respective intellectual property. Any transfer or licensing of intellectual property rights must be expressly agreed upon in writing.
9. Claims
Any claim regarding a delivered service must be submitted in writing within seven (7) calendar days following delivery.
10. Force Majeure
Dirpix shall not be held liable for any failure or delay in performing its obligations where such failure results from circumstances beyond its reasonable control, including but not limited to force majeure events.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of France. The parties agree to seek an amicable resolution before initiating legal proceedings. Failing such resolution, the competent French courts shall have exclusive jurisdiction.
